The undersigned (referred to as "AUTHOR"), having written the above (referred to as the "ARTICLE"), and Expert Pages, a unit of Advice Company, a California corporation (referred to as "PUBLISHER") in consideration of the proposed electronic publication of the ARTICLE on PUBLISHER's Website(s), hereby agree as follows:

1. The AUTHOR represents and warrants that: s/he is that author of the ARTICLE and all parts thereof; the ARTICLE and associated materials are original; the ARTICLE does not infringe any copyright, proprietary right or any other right of any third party; and the AUTHOR is the sole owner of the copyright and all republication rights with respect to the ARTICLE.

2. The AUTHOR hereby represents and warrants that neither the ARTICLE or any portion of the ARTICLE have been previously published, except as follows:

3. The AUTHOR grants the PUBLISHER the right to publish and display the ARTICLE on one or more of its websites and in print, and to make derivative works, and publish for a period of 17 years.

4. This agreement sets forth the entire understanding of the parties with respect to the ARTICLE and related matters and supersedes any and all prior understandings related thereto.

This agreement shall be governed by the laws of California, which shall be the exclusive venue in the event of any claims directly or indirectly arising as a result of the publication of the ARTICLE or arising out of this agreement.
